Figma Files Confidentially for a Public Offering
Figma has announced that it has confidentially submitted a draft Registration Statement on Form S-1 with the U.S. Securities and Exchange Commission (SEC). The move sets the stage for a potential initial public offering (IPO) of its Class A common stock.
The company's announcement is preliminary. The number of shares to be offered and the price range for the potential offering have not yet been determined. As is standard for this process, the submission does not constitute an offer to sell or a solicitation of an offer to buy any securities. Any future offers or sales will occur only after the SEC completes its review, in accordance with the registration requirements of the Securities Act of 1933.
Figma's blog post notes that the statement is being made in accordance with Rule 135 under the Securities Act. The confidential submission gives the company the option to proceed with a public listing, contingent on the SEC's review process.
